Terms of Use

These Terms of Use (these “Terms”) govern access to and use of CainView™, the video interview platform operated, administered, and provided by the Morehead-Cain Foundation and its affiliates (the “Foundation”, “we”, “our”, or “us”) that enables candidates for the Foundation’s programs to complete asynchronous video interviews for review by Foundation committee members and other authorized Foundation personnel (“CainView”). “You” are the individual entering into these Terms to access and use CainView, whether as a candidate to the Foundation’s programs accessing CainView through an active invitation or as a committee member or other authorized representative of the Foundation accessing CainView through an authenticated account. By accessing and/or using CainView, or by checking or clicking the “I Agree” or similar button, you acknowledge and agree that you have read and understood these terms and accept them and are legally bound by them. If you do not agree to these terms, do not access or use CainView.

PLEASE READ THESE TERMS CAREFULLY. THESE TERMS LIMIT OUR POTENTIAL LIABILITY TO YOU AND RESTRICT YOUR ABILITY TO BRING ACTIONS AGAINST US. DISPUTES ARE SUBJECT TO BINDING ARBITRATION ON AN INDIVIDUAL BASIS RATHER THAN JURY TRIALS OR CLASS ACTIONS.

If you are under 18, you may use CainView only with the consent of a parent or legal guardian who agrees to these Terms on your behalf. You represent that either (a) you are 18 or older or otherwise of legal age to enter into a binding agreement, or (b) your parent or guardian has reviewed these Terms and agreed to be bound by them on your behalf.

Eligibility and Access

  1. Candidates for the Foundation’s programs (“Candidates”) may access CainView only through an active invitation sent to their invited email address.
  2. Committee members, application reviewers, or other non-Candidate personnel authorized by the Foundation to access and use CainView for the purpose of reviewing Candidate interviews and application materials (collectively, “Foundation Personnel”) may access CainView only after accepting an invitation and creating an authenticated account.
  3. You must provide accurate information about yourself when registering to use CainView or providing information to the Foundation or others through CainView. You must keep your sign-in credentials or emailed access link confidential. You may not share your sign-in credentials or access link or permit another individual to use your account.
  4. You are responsible for any activity on CainView occurring through your account. You must notify the Foundation promptly at selections@moreheadcain.org if you suspect unauthorized access to or misuse of your account. The Foundation has the right to disable any account at any time in its sole discretion if, in its opinion, the continued use of that account would be inappropriate.
  5. Features of CainView may change. The Foundation has no obligation to continue providing any feature and may modify, suspend, or discontinue any feature at any time without notice.
  6. You are responsible for making all technical arrangements necessary to access and use CainView, including obtaining and maintaining an internet-connected device with a functioning camera, microphone, and supported browser capable of recording and transmitting video and audio.

Acceptable Use

  1. Candidates are only permitted to submit one response to each interview question presented through CainView. Candidates may not replay, replace, or re-record a submitted response unless the Foundation resets the question.
  2. You may not impersonate another person, complete an interview on someone else’s behalf, or allow another person to complete your interview.
  3. You may not circumvent any recording rules communicated through CainView or otherwise provided by the Foundation, use any interview aids not expressly authorized by the Foundation, or leave the interview page in a way that ends or invalidates an attempt and then dispute that outcome.
  4. Practice and technical-check recordings that are labeled as “local-only” or a similar designation are provided for your setup purposes only and are not submitted to the Foundation as graded interview responses.
  5. You may not upload or activate any virus, malware, or harmful code to CainView or damage, disable, or otherwise interfere with CainView or any of the Foundation’s or its licensors’ or service providers’ systems, platforms, or technologies.
  6. You may not use bots, scrapers, automated scripts, or similar tools to access or interact with CainView without our written authorization.
  7. You may not use CainView or any content obtained through CainView to build or compile datasets, commercial databases, or external profiles.

Reviewer Confidentiality

  1. Foundation Personnel may access materials submitted by Candidates through CainView, including video and audio recordings of Candidates (collectively, “Candidate Materials”), only as authorized by the Foundation for the purposes of: (a) assisting in the selection process for the Foundation’s programs; (b) providing technical support, troubleshooting, and platform maintenance; (c) ensuring compliance with these Terms, the Privacy Policy, and applicable law; (d) responding to legal process, regulatory inquiries, or law enforcement requests; (e) investigating suspected misuse, fraud, or security incidents involving CainView; or (f) carrying out other legitimate operational or administrative functions authorized by the Foundation.
  2. Foundation Personnel may not use, download, copy, share, publish, or otherwise disclose Candidate Materials except to the extent strictly required to perform their responsibilities in connection with the selection process or as otherwise authorized by the Foundation.

Content and Intellectual Property

  1. By submitting interview responses, other Candidate Materials, or any other content through CainView, you grant the Foundation a non-exclusive, royalty-free, fully paid-up, perpetual license to host, store, process, reproduce, review, export, and retain that content (including, where applicable, your likeness, voice, appearance, spoken content, and any other personal attributes captured in or identifiable from your interview recordings) for the Foundation’s internal purposes, including to administer the selection process for the Foundation’s programs, review and evaluate Candidate interviews, conduct recordkeeping, archiving, program administration, reporting, analytics, platform maintenance, and related troubleshooting or support activities, enforce these Terms and investigate suspected misuse of CainView, comply with applicable law or legal process, and carry out its other legitimate operational or administrative functions.
  2. CainView and all related content, designs, software, source code, algorithms, text, graphics, logos, trademarks, user interfaces, and materials are owned by the Foundation or its licensors and are protected by intellectual property laws. Subject to these Terms, the Foundation grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use CainView strictly in accordance with the respective authorizations granted under these Terms. You do not acquire any ownership interest to CainView or any other right or license beyond the limited rights set forth herein.
  3. You may not copy, reproduce, modify, adapt, reverse engineer, create derivative works of, or exploit (for commercial purposes or otherwise) CainView or any content made available through or in connection with CainView. You may not remove any intellectual property notices from CainView or any content made available through or in connection with CainView.

Privacy and Security

  1. The Foundation’s collection, use, and disclosure of personal information submitted to or otherwise collected in connection with your use of CainView is described in our Privacy Policy (the “Privacy Policy”). By using CainView and providing your personal information to us through CainView, you consent to all actions taken by the Foundation in compliance with the Privacy Policy.
  2. The Foundation does not warrant or guarantee the security of CainView or any information transmitted to or stored on CainView. You are responsible for safeguarding your login credentials, maintaining appropriate security measures on your devices, and evaluating the sensitivity of any information before submitting it to CainView. The Foundation will not be liable for any unauthorized access to, use, disclosure, or modification of any information submitted to or stored on CainView.

Suspension, Termination, and Account Deletion

  1. These Terms are effective until terminated by you or the Foundation. You may terminate by permanently ceasing all use of CainView. The Foundation may terminate these Terms and your access to CainView at any time, with or without notice, for any reason, including if the Foundation ceases to support CainView. Upon termination, all rights granted to you under these Terms will immediately terminate.
  2. The Foundation may suspend your access to CainView immediately and without notice if: (a) required by law or court order; (b) you have violated these Terms; or (c) you have engaged in fraudulent or unlawful activity in connection with CainView.
  3. The following provisions of these Terms will survive any termination: “Reviewer Confidentiality”, “Content and Intellectual Property”, “Disclaimer of Warranties”, “Limitation of Liability”, “Indemnification”, “Governing Law and Disputes; Binding Arbitration”, and “Miscellaneous”.

Disclaimer of Warranties

  1. TO THE FULLEST EXTENT PERMITTED BY LAW, CAINVIEW IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITATION OF THE FOREGOING, THE FOUNDATION HEREBY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT WITH RESPECT TO CAINVIEW OR ANY CONTENT MADE AVAILABLE THROUGH OR IN CONNECTION WITH CAINVIEW. THE FOUNDATION DOES NOT WARRANT UNINTERRUPTED ACCESS, ERROR-FREE RECORDING, OR THAT EVERY DEVICE OR NETWORK WILL OPERATE EFFECTIVELY WITH CAINVIEW OR THAT CAINVIEW WILL BE AVAILABLE AT ANY GIVEN TIME.
  2. Candidates are responsible for using a supported browser, a private device, and a working camera and microphone before commencing a response to an interview question on CainView.
  3. Some jurisdictions do not permit certain warranty exclusions, so parts of this section may not apply to you.

Limitation of Liability

  1. TO THE FULLEST EXTENT PERMITTED BY LAW, THE FOUNDATION AND ITS TRUSTEES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF CAINVIEW. WITHOUT LIMITING THE FOREGOING, THE FOUNDATION WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES, CLAIMS, OR CAUSES OF ACTION ARISING FROM OR RELATING TO LOST OR INTERRUPTED INTERVIEW ATTEMPTS CAUSED BY CAINVIEW OR ANY DEVICE, BROWSER, OR NETWORK USED TO ACCESS, HOST, SUPPORT, OR PROVIDE CAINVIEW.
  2. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE FOUNDATION TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO CAINVIEW OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
  3. ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR CAINVIEW MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
  4. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

  1. To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Foundation and its trustees, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising from or relating to your use of CainView or any content made available through or in connection with CainView, your violation of these Terms, or your violation of law or any third-party right. The Foundation may assume the exclusive defense and control of any matter subject to indemnification at your expense. You agree to cooperate fully with the Foundation in the defense or settlement of any matter subject to indemnification under these Terms.

Governing Law and Disputes; Binding Arbitration

  1. PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
  2. These Terms and any dispute arising from or relating to these Terms or CainView (a “Dispute”) will be governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. You and the Foundation irrevocably submit to the personal and exclusive jurisdiction of the state and federal courts located in Orange County, North Carolina for any lawsuit or court proceeding permitted under these Terms.
  3. Before filing a legal claim, you and the Foundation agree to make a good-faith effort to resolve the Dispute informally by providing written notice to the other party. If the Dispute is not resolved within 45 days, it shall be determined by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration shall be conducted by one mutually acceptable arbitrator. If the parties are unable to agree upon a single arbitrator, then the parties shall choose an arbitrator by striking from a list of arbitrators supplied by JAMS. The arbitrator shall not have the power to award punitive or exemplary damages. The decision of the arbitrator shall be final and binding and may be enforced in any court of competent jurisdiction.
  4. YOU AND THE FOUNDATION AGREE TO ARBITRATE IN EACH PARTY’S INDIVIDUAL CAPACITY ONLY, AND NOT AS A REPRESENTATIVE OR MEMBER OF A CLASS. EACH PARTY EXPRESSLY WAIVES ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS.
  5. Notwithstanding the foregoing, either party may seek temporary equitable relief from a court of competent jurisdiction to protect its rights under these Terms, and no party shall be precluded from bringing an individual claim in small claims court to the extent the claim is within that court’s jurisdictional limits.

Changes to These Terms

  1. The Foundation may update these Terms at any time and without notice in its sole discretion. The revised Terms will be effective immediately upon posting.
  2. Your continued use of CainView after the revised Terms take effect constitutes acceptance of the revised Terms. You must check this page frequently so that you are aware of any changes to these Terms. If you do not agree to any changes, you must immediately stop using CainView.

Miscellaneous

  1. Except to the extent expressly incorporated or otherwise referenced herein, these Terms and the Privacy Policy constitute the entire agreement between you and the Foundation concerning your access to and use of CainView and supersede all prior understandings.
  2. If any provision of these Terms is found to be unenforceable, it will be enforced to the maximum extent permitted by applicable law and the remaining provisions of these Terms will remain in full effect.
  3. No failure to exercise any right under these Terms shall operate as a waiver thereof.
  4. You may not assign or transfer these Terms without the Foundation’s written consent. The Foundation may assign these Terms at any time.
